1. Acceptance of these Terms

These Terms of Service (“Terms”) govern your access to and use of nir-yu.com and its content (the “Site”), operated by INTERNATIONAL CONCIERGE INC DBA NIR-YU (“NirYu,” “we,” “us”). By accessing or using the Site, you accept these Terms on behalf of yourself or the entity you represent, and you represent that you are at least 18 years old and have the authority to do so. If you do not agree, do not use the Site.

2. The Site is informational

The Site describes NirYu’s nearshore staffing services and provides educational resources. Browsing the Site, downloading a resource, submitting a form, or booking a call does not create a client engagement, a staffing relationship, or any other contractual relationship. Our services are provided exclusively under separate written agreements signed by both parties, and if there is any conflict between these Terms and a signed service agreement, the service agreement controls for the services it covers.

3. No professional advice

Content on the Site — including hiring guides, country guides, salary information, statutory benefit summaries, and cost examples — is general information provided for educational purposes. It is not legal, tax, accounting, immigration, or investment advice, and it should not be relied on as a substitute for advice from qualified professionals. Labor laws, statutory benefits, and market rates change; always confirm current requirements before making hiring decisions.

4. Intellectual property

The Site and its content — text, guides, graphics, logos, and design — are owned by NirYu or its licensors and are protected by intellectual property laws. “NirYu,” the NirYu logo, and “REMOTE Intelligence™” are trademarks of NirYu. Except for the limited license below, no rights in the Site or its content are granted to you.

4.1 Limited license for downloadable resources

You may download and use our guides and resources for your own internal business or personal evaluation purposes. You may not sell, republish, redistribute, or create derivative works from them, remove attribution or branding, or represent them as your own. Quoting brief excerpts with attribution to NirYu is welcome.

5. Acceptable use

When using the Site, you agree not to:

• Violate any applicable law or third-party right;
• Scrape, harvest, or systematically extract content or data, including by automated means, except as permitted by standard search-engine indexing;
• Interfere with the Site’s operation or security, or attempt to gain unauthorized access to any systems;
• Misrepresent your identity or affiliation, or submit false or misleading information through our forms;
• Use the Site to transmit malware, spam, or unsolicited commercial messages.

6. Information you submit

Information you submit through the Site — inquiries, booking details, or candidate applications — must be accurate, current, and yours to share. Candidates are responsible for the truthfulness of their application materials. Personal information is handled as described in our Privacy Policy, which is incorporated into these Terms by reference. If you send us ideas or feedback about our services or content, you grant us a perpetual, royalty-free license to use them without obligation to you.

7. Third-party websites and tools

The Site may link to or embed third-party websites and tools — such as scheduling services or social networks. We do not control them and are not responsible for their content, availability, or practices. Your use of third-party services is at your own risk and subject to their terms.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE — INCLUDING SALARY RANGES AND STATUTORY SUMMARIES — IS CURRENT OR APPLICABLE TO YOUR CIRCUMSTANCES.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIR-YU AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY ARISING FROM USE OF THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. LIABILITY UNDER SIGNED SERVICE AGREEMENTS IS GOVERNED BY THOSE AGREEMENTS, NOT THESE TERMS.

10. Indemnification

You agree to indemnify and hold NirYu harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Site, or information you submit in violation of Section 6.

11. Governing law and disputes

These Terms are governed by the laws of THE STATE OF FLORIDA, USA, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved exclusively in the courts of DADE COUNTY, FLORIDA, and the parties consent to their jurisdiction.

12. General

• We may update these Terms; the “Last updated” date reflects the current version, and continued use after changes take effect constitutes acceptance.
• If any provision is unenforceable, the rest remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• You may not assign these Terms; we may assign them in connection with a corporate transaction.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement regarding use of the Site.
